Adani Green Energy Limited (AGEL), Adani Green Energy Twenty Three Limited (AGE23L), and TotalEnergies Renewables Singapore Private Limited (formerly Total Solar Singapore Private Limited) entered into a tripartite Joint Venture Agreement (JVA) dated April 03, 2020.
As per the terms of JVA, AGEL transferred its beneficial interest in certain subsidiaries, including Prayatna Developers Private Limited, to AGE23L for an overall consideration of INR 16,887,346 Iakhs in the form of Non-Convertible Debentures. Subsequently, TotalEnergies invested INR 37,072,100 lakhs in AGE23L through stapled securities in the form of Equity Shares, Class B shares and Non-Convertible Debentures. This agreement was amended on December 26, 2023, which now stipulates that TotalEnergies has invested in AGE23L an amount of INR 4,013 crore in the form of CCDs which has been used by AGE23L to redeem NCDs issued by AGE23L to Total Energies.
As of December 27, 2023, AGEL and TotalEnergies each holds 50:50% of the paid-up equity share capital of AGE23L.
